Official Rules

Overview and Purpose
The Microbridge Rejustor Application Design Challenge (the "Challenge") is an opportunity for Entrants to create and submit Design Entries suggesting and describing novel circuit design ideas for any of the low cost, Rejustor devices available from Microbridge.

Microbridge Technologies Corp., a Delaware corporation, as the sponsor of the Challenge, will promote certain of the Design Entries and/or the Challenge winners in press and industry outreach and advertising, and in Microbridge newsletters, and will sustain a compilation of certain of the Design Entries as a compendium of ideas for its Rejustor devices as a resource for the industry at-large and enthusiast browsing.

1. Eligibility
The Challenge is open only to legal residents of the fifty (50) United States (including District of Columbia) and Canada (excluding Quebec) who are at least twenty one (21) years old at the time of entry. Void in Guam, Puerto Rico, the U.S. Virgin Islands, and other U.S. territories and possessions and where prohibited by law. Employees of Microbridge Technologies Corp. or any of its affiliates, subsidiaries, advertising agencies, or any other company or individual involved with the design, production, execution, distribution or judging of the Challenge and their immediate family (spouse, parents and step-parents, siblings and step-siblings, and children and step-children) and household members (people who share the same residence at least three (3) months out of the year) of each such employee are not eligible. The Challenge is subject to all applicable Federal, state and local laws and regulations. Participation constitutes Entrant's full and unconditional agreement to these Official Rules and Microbridge's decisions, which are final and binding in all matters related to the Challenge. Winning a prize is contingent upon fulfilling all requirements set forth herein. The Challenge consists of a skill contest.

3. Timing
The Challenge Period begins on September 10, 2007 at 12:01 AM Eastern time and ends on December 31, 2007 at 11:59 PM Eastern time. Entries submitted by mail in connection with this Challenge must be postmarked by December 15, 2007 and received by December 31, 2007.

4. How to Enter
During the Challenge Period you must do the following:

  1. Complete the registration form at http://www.rejustorchallenge.com
  2. Once you are registered, download the Microbridge Rejustor Application Design Challenge Package ("Package").
  3. Using the PACKAGE, submit your completed Design Entry to Microbridge via e-mail at rejustorcontest@microbridgetech.com or via mail at Microbridge Technologies Corp., Rejustor Application Design Challenge, 35 Corporate Drive, 4th Floor, Burlington, MA, 01803, in the form of specifications, block diagrams and schematics, a detailed written description of the design and a description how Rejustor benefited the overall design.
  4. If you plan to build and test your design, samples of the Microbridge Rejustor devices may be obtained at retail price from Future Electronics or email Microbridge at rejustorchallenge@microbridgetech.com.

5. Design Entry Requirements
All Design Entries must include the design-in of at least one Rejustor device from Microbridge. A physical part or board does not need to be used. Submitted designs must include a block diagram, and detailed description of the design and final application use (usually 2-3 pages total length of Word file entry).Other devices may be incorporated into the design. Rejustors are Microbridge's resistor calibration products and enabling technology which are the first integrated calibration and temperature compensation systems for analog resistor design and production. Microbridge's technology enables product designers to achieve one-step calibration and passive adjustment, is adaptive and adjustable in circuit, and it allows calibration in the analog domain to improve the design of current and future products.

Number of Entries
Entrants may submit as many unique Design Entries as they so choose. Each Design Entry must be submitted separately. If one Entrant's design is selected for a prize, that Entrant will be ineligible for any other prizes. Entrants will not be allowed to change or supplement their submissions once it has been submitted. Entries must be submitted as a Word Document in English. Incomplete or illegible Design Entries will not be accepted.

Team Entries
Where a Design Entry is submitted by two or more contributors, this fact must be disclosed in the entry form. One contributor must be designated to receive the prize. For any prizes awarded to multiple contributors, the designated prize winner will be responsible for dividing the prize among others.

Design Entry Restrictions & Rights
Design Entry must be original and of Entrant's own creation. Design Entry must not violate the rights of other parties. Entrants warrant and represent that all design ideas and applications submitted are entirely original and that Entrant is the owner of all interests in and rights to such designs. This representation is a requirement of participation in the Challenge. By submitting an entry to this Challenge, Entrants represent and warrant and that there is no third party, whether an academic institution, commercial company, individual, or governmental legal entity which has any proprietary or other interest in, claims or rights to, any intellectual property rights, including trade secret, "know-how," copyright, patent, trademark or trade name, in any design ideas submitted under the Challenge. Entrants agree, represent and guarantee that there are no obligations of any nature, legal or otherwise, which would prohibit, restrict, or interfere with their participation in the Challenge or submission of their design ideas. Entrants agree to obtain any necessary clearances, authorizations and/or approvals from any necessary third party participation in all Challenge activities and any such approvals which are required as a condition of participation. Design Entry may not be offensive or defamatory, as determined by the judges. Entrants assign and transfer to Microbridge all rights, title and interest to the Design Entry. In the case of online or e-mail submissions, if there is a dispute regarding the identity of an Entrant, Microbridge reserves the right to deem the account holder of the e-mail address as the Entrant, according to the Internet service provider, online service provider or other organization that is responsible for assigning e-mail addresses for the domain associated with the winning Design Entry. No automatic, programmed, robotic or similar means of entry are permitted. Questions regarding the Challenge rules may by submitted by e-mail to rejustorcontest@microbridgetech.com. Microbridge will make every effort to answer such queries, but it may choose not to do so in its sole discretion, if providing a response would give an advantage to one Entrant over the others. Entrants will not be reimbursed for any costs incurred or for efforts expended in connection with their participation the Challenge. Such costs are the responsibility of Entrants. Microbridge is not responsible for lost, late, incomplete, invalid, unintelligible or misdirected registrations, which will be disqualified. None of the information submitted by the Entrant will be treated by Microbridge as trade secrets, confidential information, or as protected data under any obligation. Design Entries will not be returned to any Entrant, regardless of whether they are accepted. No confidential relationship is established between Microbridge and Entrants as a result of entering the Challenge.

Entrants agree to be bound by the Challenge requirements for licensing of non-exclusive rights. Ownership of the design ideas embodied in a Design Entry (hereinafter "Designs") shall remain with the submitting Entrants. Entrants hereby grant Microbridge a non-exclusive, worldwide, perpetual, and royalty-free license to use the Designs in, or as part of, Microbridge products, to implement the Design using Microbridge products, to modify the Designs for such uses, and to publish the Designs for such uses by Microbridge or by customers of Microbridge under all applicable intellectual property rights related to the Designs, including (without limitation) patents, trade secrets, copyrights (including all moral and statutory copyrights), and trademarks. To the extent additional documents or actions are required under local law or requirements for an effective license to these rights, title, and interests for commercial purposes, Entrants agree to fully cooperate in executing such further documents and in taking such further actions as are necessary. In such cases, Entrants agree that commercialization license rights shall become effective upon completion of further required actions. The non-exclusive license to Microbridge of intellectual property rights, as described above, is free of charge and without remuneration of any kind. Entries and design submissions may be published in Microbridge or third party publications. Entrants agree that the opportunity to compete for prizes, to receive publicity, and to increase one's understanding of Microbridge products, represent full and adequate consideration for license of these rights by the Entrants. Prizes do not represent fixed-sum monetary remuneration of the licensing of intellectual property and rights in design submissions.

6. Judging Parameters Winner Selection:
The Design Entry will be ranked using a 100-point scale, using the following criteria: (a) design thoroughness and quality, level of engineering analysis (30%), (b) utilization of the unique features of the Rejustor Device (40%), (c) creativity (20%), and (d) written description of how Rejustor benefited the overall design (10%). Design Entries earning the highest overall scores will win. In the event of a tie, winner will be selected based on the criteria described in (a), then (b), then (c) and finally (d). The Design Entries will be judged by a panel comprised of at least two Microbridge's employees who are experienced in Rejustor design and at least two independent judges with analog design backgrounds. Judges are required to be fair and impartial. Decisions of the judging panel will be final. Odds of winning depend on number of eligible Entries received and quality of submitted Design Entries. Judging will be conducted on or about January 31, 2008.

7. ALL POTENTIAL CHALLENGE WINNERS ARE SUBJECT TO VERIFICATION BY MICROBRIDGE, AS CHALLENGE SPONSOR, WHOSE DECISIONS ARE FINAL AND BINDING IN ALL MATTERS RELATED TO THE PROMOTION.

8. Verification of Potential Winners
Potential winners must continue to comply with all terms and conditions of these Official Rules, and winning is contingent upon fulfilling all requirements. The potential Challenge winner will be notified by email, telephone, or registered mail after the judging date. The potential winners will be required to sign and return to Microbridge, within ten (10) days of the date notice is sent, an affidavit of eligibility, and liability/publicity release (except where prohibited) in order to claim his/her prize if applicable. If a potential winner of any prize cannot be contacted, fails to sign and return the affidavit of eligibility and liability/publicity release within the required time period (if applicable), or if the prize or prize notification is returned as undeliverable, potential winner forfeits prize. In the event that a potential winner is disqualified for any reason, Microbridge will award the applicable prize to an alternate winner based on the next highest score. Potential winners may also be required to sign other documents necessary to ensure non-exclusive license right to Microbridge for such design ideas.

9. Prizes

  1. Grand Prize: ONE GRAND PRIZE WINNER
    The Grand Prize winner will select from either a 2008 Standard Equipped Mini Cooper (Approximate Retail Value of prize: US$19,000) or a pair of 2008 Standard Equipped Harley Davidson Touring Motorcycles Model "XL883" (Approximate Retail Value of prize: US$14,000). Grand Prize Winner will have the option of receiving the prize above (either the Mini Cooper or the Harley Davidsons) or a one-time cash payment of Ten Thousand Dollars (US$10,000).
  2. Second Prize: TWO (2) SECOND PRIZE WINNERS - 56" HDTV
    Two (2) Second Prizes will be awarded. The Second Prize winners will each receive a Samsung 56" 1080p HDTV. Approximate Retail Value: US$3,000.
  3. Third Prizes - SEVEN (7) THIRD PRIZE WINNERS - Nintendo Wii Video Game System
    Seven (7) Third Prizes will be awarded. The Third Prize winners will each receive a Nintendo Wii Video Game System. Approximate Retail Value: US$500.

For All Prizes: Other than the cash alternative offered to the Grand Prize Winner, no substitution of prize will be made except as provided herein at Microbridge's sole discretion. Microbridge reserves the right to substitute any listed prize for one of equal or greater value if the designated prize should become unavailable for any reason. Winners are responsible for any and all related taxes and other expenses related to claiming any of the prizes. Taxes (United States, Canadian, federal, state and local and, any foreign) and other obligations are solely the responsibility of the winners. Prizes may be subject to reporting for tax and other purposes. Winners agree to supply Microbridge with any information necessary for tax reporting purposes and to cooperate in fulfilling all applicable legal requirements. Delivery of Grand Prize Mini Cooper or Harley Davidsons will be to an authorized dealership near the winner's residence unless otherwise agreed. Delivery of Second Prize HDTV will be to an authorized dealer near the winner's residence unless otherwise agreed. Winner is responsible for any incidental delivery beyond the prize being delivered to dealership location. Microbridge will arrange for shipment of the awarded prize to the second and third place prize winners.

10. Release
By entering, each Entrant agrees to: (a) comply with and be bound by these Official Rules and the decisions of Microbridge and/or the Judging Panel which are binding and final in all matters relating to this Challenge; (b) release and hold harmless Microbridge and its respective parents, subsidiary, and affiliated companies, the prize suppliers and any other organizations responsible for sponsoring, fulfilling, administering, advertising or promoting the Challenge, and all of their respective past and present officers, directors, employees, agents and representatives (collectively, the "Released Parties") from and against any and all claims, expenses, and liability, including (without limitation) negligence and damages of any kind to persons and property, including (without limitation) invasion of privacy (under appropriation, intrusion, public disclosure of private facts, false light in the public eye or other legal theory), defamation, slander, libel, violation of right of publicity, infringement of trademark, copyright or other intellectual property rights, property damage, or death or personal injury arising out of or relating to Entrant's entry, creation of an entry or submission of an entry, participation in the Challenge, acceptance or use or misuse of prize (including any travel or activity related thereto) and/or the broadcast, exploitation or use of entry; and (c) indemnify, defend and hold harmless Microbridge from and against any and all claims, expenses, and liabilities (including reasonable attorneys fees) arising out of or relating to Entrant's participation in the Challenge and/or entrant's acceptance, use or misuse of prize.

11. Publicity
Except where prohibited, participation in the Challenge constitutes a winner's consent to Microbridge's and its agents' use of winner's name, likeness, photograph, voice, opinions and/or hometown and state, and any information provided on or with their Design Entry, for promotional purposes in any media, worldwide, without further payment or consideration. Title of design idea and abstract will also be posted on the Design Challenge website.

12. General Conditions
Microbridge reserves the right to withdraw from the Challenge the awarding of the Grand Prize if there are insufficient qualified Design Entries (i.e., fewer than thirty Design Entries with an aggregate score of 75 points or more). In that event, no Grand Prize will be awarded, and the Design Entries earning the highest overall scores will win the Second and Third Prizes, as provided above. In addition, Microbridge reserves the right to cancel, suspend and/or modify the Challenge, or any part of it, if any fraud, technical failures or any other factor beyond Microbridge's reasonable control impairs the integrity or proper functioning of the Challenge, as determined by Microbridge in its sole discretion. Microbridge reserves the right in its sole discretion to disqualify any individual it finds to be tampering with the entry process or the operation of the Challenge or to be acting in violation of these Official Rules or any other promotion or in an unsporting or disruptive manner. Any attempt by any person to deliberately undermine the legitimate operation of the Challenge may be a violation of criminal and civil law, and, should such an attempt be made, Microbridge reserves the right to seek damages from any such person to the fullest extent permitted by law. Microbridge's failure to enforce any term of these Official Rules shall not constitute a waiver of that provision.

13. Limitations of Liability
The Released Parties are not responsible for: (1) any incorrect or inaccurate information, whether caused by Entrants, printing errors or by any of the equipment or programming associated with or utilized in the Challenge; (2) technical failures of any kind, including (without limitation) malfunctions, interruptions, or disconnections in phone lines or network hardware or software; (3) unauthorized human intervention in any part of the entry process or the Challenge; (4) technical or human error which may occur in the administration of the Challenge or the processing of entries; or (5) any injury or damage to persons or property which may be caused, directly or indirectly, in whole or in part, from an Entrant's participation in the Challenge or receipt or use or misuse of any prize. No more than the stated number of prizes will be awarded.

14. Disputes
Entrants agree that: (i) any and all disputes, claims and causes of action arising out of or connected with this Challenge, or any prizes awarded, other than those concerning the administration of the Challenge or the determination of winners, shall be resolved individually, without resort to any form of class action; (ii) any and all disputes, claims and causes of action arising out of or connected with this Challenge, or any prizes awarded, shall be resolved exclusively by the United States District Court or the appropriate Massachusetts State Court located in Boston, Massachusetts; (iii) any and all claims, judgments and awards shall be limited to actual out-of-pocket costs incurred, including costs associated with entering this Challenge, but in no event attorneys' fees or costs; and (iv) under no circumstances will Entrants be permitted to obtain awards for, and Entrants hereby waive all rights to claim punitive, incidental and consequential damages and any other damages, other than for actual out-of-pocket expenses, and any and all rights to have damages multiplied or otherwise increased. SOME JURISDICTIONS DO NOT ALLOW THE LIMITATIONS OR EXCLUSION OF LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES, SO THE ABOVE MAY NOT APPLY TO YOU. All issues and questions concerning the construction, validity, interpretation and enforceability of these Official Rules, or the rights and obligations of the entrant and Microbridge in connection with the Challenge, shall be governed by, and construed in accordance with, the laws of the Commonwealth of Massachusetts, without giving effect to any choice of law or conflict of law rules (whether of the Commonwealth of Massachusetts or any other jurisdiction), which would cause the application of the laws of any jurisdiction other than the Commonwealth of Massachusetts.

15. Challenge Results
The names of the winners will be published on www.microbridgetech.com and www.rejustorchallenge.com on or after February 11, 2008. For a list of Challenge winners, please contact Microbridge.
